By accessing or using Imagine AI's platform, website, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Services. These Terms apply to all users, including visitors, registered users, and paying customers. We reserve the right to update these Terms at any time with reasonable notice.

You must be at least 13 years of age to use our Services. By using Imagine AI, you represent and warrant that: • You are at least 13 years old (or 16 in certain jurisdictions). • You have the legal authority to enter into a binding agreement. • Your use of the Services does not violate any applicable laws or regulations. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

To access certain features of our platform, you must create an account. When registering, you agree to: • Provide accurate, current, and complete information. • Maintain and promptly update your account information. • Keep your password secure and confidential. • Notify us immediately of any unauthorized use of your account. • Accept responsibility for all activities that occur under your account. We reserve the right to suspend or terminate accounts that provide inaccurate information or violate these Terms.

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to: • Generate, upload, or share content that is illegal, harmful, threatening, abusive, or defamatory. • Create images depicting minors in sexual or exploitative contexts (strictly prohibited and reported to authorities). • Use the Services to infringe on intellectual property rights of others. • Attempt to reverse engineer, decompile, or extract our AI models. • Use automated bots or scripts to access or scrape the platform. • Resell, sublicense, or commercially exploit our Services without explicit written permission. • Circumvent any technical limitations, usage caps, or content filters.

Your Content: You retain ownership of the prompts you submit and the images generated for you through our Services, subject to these Terms and applicable law. License to Us: By using our Services, you grant Imagine AI a limited, non-exclusive license to process your prompts and display generated images to you as part of delivering the Services. Our Platform: All code, design, branding, trademarks, and underlying AI technology of Imagine AI are our exclusive intellectual property. You may not copy, reproduce, or create derivative works without written consent. Third-Party Rights: You are responsible for ensuring your prompts do not infringe on third-party intellectual property rights.

Billing: Subscription fees are billed in advance on a monthly basis. All payments are processed securely through our third-party payment provider. Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are provided for unused time. Credits: Purchased AI generation credits are non-refundable and expire 12 months from the date of purchase. Price Changes: We may change subscription prices with 30 days' notice. Continued use after the notice period constitutes acceptance of the new pricing.

We employ automated and human moderation to ensure content generated on our platform complies with our policies. We reserve the right to: • Remove or restrict access to any content that violates our policies without prior notice. • Suspend or permanently terminate accounts that repeatedly violate our content guidelines. • Report illegal content to appropriate authorities. We are not liable for content generated by users and make no guarantees regarding the appropriateness of AI-generated outputs.

No Warranties: Our Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. Service Availability: We do not guarantee uninterrupted or error-free access to our Services. We may suspend access for maintenance, updates, or unforeseen circumstances. AI Accuracy: AI-generated content may not always meet your expectations. We do not warrant that generated images will be suitable for any particular use.

To the fullest extent permitted by law, Imagine AI and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of (or inability to use) our Services, even if we have been advised of the possibility of such damages. Our total aggregate liability shall not exceed the amount you paid us in the 12 months preceding the claim.

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms, fraudulent activity, or non-payment. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, and limitations of liability) will survive.

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in San Jose, California.
